Terms & Conditions
Last updated 5 October 2026. Please read these Terms carefully before using Flipsta.
This page reflects how Flipsta currently operates, but has not yet been reviewed by a solicitor. It will be updated once that review is complete.
1. Who these terms are between
These Terms & Conditions ("Terms") govern use of the Flipsta platform (the "Platform"), operated by [Flipsta Ltd — company number to be confirmed once registered at Companies House], a company registered in England and Wales at [registered address to be confirmed]. By creating an account or using the Platform, you ("you", "the user") agree to these Terms.
There are two types of user: Resellers, who claim sourced opportunities and resell items through the Platform, and Buyers, who purchase items directly through the consumer marketplace, Shop or Merch store. Some provisions apply to one type only and are marked accordingly. A Trade Seller is a variant of Reseller under a separate commercial agreement and is not fully covered by these consumer-facing Terms.
2. Eligibility and account verification
You must be 16 or over and resident in the United Kingdom to register. You must provide accurate identity, address, and (for Resellers) payment and tax information, and keep it up to date. Flipsta uses this information both for standard fraud-prevention checks and to meet its legal obligations as a digital platform operator, including reporting certain seller income to HMRC where required by law (see Section 11). Flipsta may decline, suspend, or terminate an account where verification cannot be completed or where information provided is found to be false.
3. How sourced opportunities work
Flipsta identifies time-limited resale opportunities and presents them to Resellers with key identifying details — the exact retailer and purchase link — withheld until you've claimed a slot, to protect the commercial value of the opportunity. Each opportunity has a limited number of slots. Claiming a slot requires a paid plan (Deals or Pro, see Section 6) and is included in that plan at no extra charge per deal. Claiming is first-come, first-served and is a commitment to source and resell the item. Once every slot is claimed, the opportunity closes; Flipsta may open further slots on the same opportunity later if supply allows.
Pro members get earlier access to a newly-listed opportunity before Deals members can act on it(see Section 6). Availability, pricing and access timing are shown on the Platform at the time and may change between opportunities.
4. Flippy Coins (retired)
Flipsta no longer sells or uses Flippy Coins. Opportunity slots are claimed as part of a paid plan (see Section 6). Any Flippy Coin balance shown on an older account has no cash value and cannot be redeemed, spent or transferred. If you bought coins and have a question about them, contact support.
5. Marketplace payments and escrow
Payments for marketplace purchases (a Buyer purchasing a Reseller's listing, Shop, or Merch) are processed via Stripe Connect in pounds sterling. Funds paid by a Buyer are held by Flipsta and released to the selling Reseller only after delivery is confirmed, or after a Reseller-selected hold period of up to two weeks has elapsed without a return being raised, whichever is later. Flipsta does not hold client money outside of this payment processing arrangement.
6. Plans, commission and fees
Flipsta offers three plans: Free (£0), Deals (£9.99 per month) and Pro (£19.99 per month), each with the opportunity access and features set out on the Platform's pricing page. Free lets you buy from the Shop and list your own items on the Flipsta store but does not include claiming opportunities. Deals includes claiming opportunities with a 15-minute delay after Pro members. Pro includes immediate access plus the additional tools described on the pricing page. Plans are billed monthly in advance through Stripe, renew automatically until cancelled, and are non-refundable except as required by law. When a paid plan ends, your account reverts to Free.
Flipsta charges a commission on marketplace sales, calculated as a percentage of sale price: 12% on Free and Deals, and 8% on Pro, or for Trade Sellers a rate based on their monthly sales volume, as set out in the current fee schedule available on the Platform. Any commission is shown before you confirm a sale.
7. Referral and loyalty rewards
Flipsta may credit an account with wallet balance for referring a new user, for a qualifying purchase (loyalty credit), on terms set out elsewhere on the Platform at the time. These rewards are a discretionary incentive, not a contractual entitlement, and Flipsta may change, cap, or withdraw them at any time. An account found to be abusing a reward scheme (for example, fake referrals or self-referral) may have the related credit reversed and, in serious or repeated cases, may be suspended under Section 10.
8. Shop, Merch and partner deals
Items in the Shop are listed and sold by individual Resellers. The Reseller who listed an item is the seller, is responsible for describing it accurately and for posting it to the Buyer, and Section 5's escrow and hold-period terms apply to every Shop purchase. Flipsta does not itself sell, source or dispatch Shop items.
Flipsta Merch is sold by Flipsta and dispatched by Flipsta or its merch supplier. Payment for Merch is taken at checkout in the ordinary way and Section 5's escrow and hold-period terms do not apply; estimated delivery times are shown before you buy.
Partner deals are offers from third-party retailers. When you follow a partner deal you buy directly from that retailer on its own website, under its own terms, prices and returns policy; Flipsta is not the seller and may receive a commission from the retailer.
9. Buyer Want requests
A Buyer may post a Buyer Want specifying an item and the maximum price they are willing to pay. This is not a binding offer to any specific Reseller until a Reseller's responding offer is accepted through the Platform's matching process; once matched, the transaction is binding on both parties in the same way as any other Platform sale.
10. Prohibited items and conduct
You must not use the Platform to list, source, or request: counterfeit or replica goods; stolen goods; goods you do not have legal right to sell; weapons, ammunition, or restricted items; goods requiring a licence you do not hold; or any item unlawful to sell in the United Kingdom. You must not attempt to circumvent the Platform's payment or communication systems. Flipsta may suspend or terminate any account in breach of this section and, where required, report unlawful activity to the relevant authorities.
11. Tax
You are solely responsible for determining and meeting your own tax obligations arising from your use of the Platform. Where you meet the criteria of a "reportable seller" under the UK's Reporting Rules for Digital Platforms, Flipsta is legally required to collect, verify, and report certain information about you and your sales activity to HMRC annually. Further information about these rules is available from HMRC at gov.uk. Flipsta's compliance with this obligation does not constitute tax advice, and you should seek your own professional advice on your tax position.
12. Disputes and support
All disputes relating to an order or account issues must be raised through the Platform's support ticketing system, which is the sole channel for buyer-seller communication regarding a transaction. Flipsta will aim to resolve tickets within [support SLA to confirm]. Direct contact details exchanged to circumvent this system, or to circumvent a fee, are a breach of these Terms.
13. Liability
To the fullest extent permitted by law, Flipsta's liability to you is limited to the amount you have paid to Flipsta in the 12 months preceding the claim, except for liability that cannot be limited or excluded by law (including death or personal injury caused by negligence, and fraud). Flipsta is not liable for losses arising from a Reseller's own commercial decisions, including opportunities that do not resell as expected.
14. Changes to these Terms
Flipsta may update these Terms from time to time. Material changes will be notified to users in advance of taking effect. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of England and Wales, and any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.

Still missing: a separate Seller/Trade Seller Agreement for the wholesale channel. This doesn't exist yet.
